Welcome to Zuno. These Terms & Conditions (“Terms”) govern your access to and use of the Zuno website at zuno-os.com, the Zuno platform, mobile and desktop applications, and any related services (together, the “Service”) provided by Zuno (“Zuno,” “we,” “us,” or “our”).
By creating an account, subscribing to a plan, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Who can use Zuno
To use the Service, you must:
- Be at least 18 years old and legally capable of entering into a binding contract.
- Be using Zuno on behalf of a legitimate business, or be authorized by such a business.
- Provide accurate, current, and complete information when registering.
If you are using Zuno on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and “you” refers to both you personally and that organization.
2. Your account
You are responsible for:
- Keeping your login credentials confidential.
- All activity that happens under your account.
- Promptly notifying us of any unauthorized access or security incident.
We may suspend or terminate accounts that show signs of fraud, abuse, or violation of these Terms.
You may add staff or team members to your account. You are responsible for their use of the Service and for ensuring that their roles, permissions, and access are appropriate.
3. Subscriptions, pricing, and billing
3.1 Plans
Zuno is offered as a subscription. Current plans and pricing are published on our website. We may offer promotional pricing, free trials, or Beta access from time to time, with terms specific to those offers.
3.2 Billing
- Subscription fees are billed in advance on a recurring basis (for example, monthly) unless otherwise agreed.
- All fees are stated in Philippine Pesos (₱) unless otherwise indicated and are exclusive of applicable taxes, which you are responsible for.
- Payments are processed by third-party payment providers. You authorize us and our providers to charge your designated payment method on each billing cycle.
3.3 Renewals
Subscriptions renew automatically at the end of each billing period at the then-current price for your plan, unless you cancel before the renewal date.
3.4 Changes to pricing
We may change pricing or plan features. For existing subscribers, changes take effect at the start of the next billing cycle, and we will give reasonable advance notice.
3.5 Refunds
Except where required by law, subscription fees are non-refundable. We may, at our discretion, issue refunds or credits in specific circumstances.
3.6 Late or failed payments
If a payment fails or is not received, we may suspend or downgrade your account until the balance is paid. You remain responsible for fees accrued during any suspension.
4. Beta Service
Parts of Zuno are currently offered in Beta. Beta features:
- May be incomplete, change without notice, or be removed at any time.
- Are provided “as is” without any guarantee of performance, availability, or fitness for any particular purpose.
- May have higher rates of bugs, downtime, or data issues than a generally available product.
By using Beta features, you accept these risks. We recommend keeping your own backups of critical data and not relying solely on Beta features for mission-critical operations.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Sell, resell, sublicense, or commercially exploit the Service except as expressly allowed.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Probe, scan, or test the vulnerability of the Service, or breach security or authentication measures, without our written consent.
- Use the Service to send spam, phishing messages, or content that violates a recipient's consent rights.
- Upload viruses, malware, or any code designed to disrupt the Service.
- Interfere with other users' access to or use of the Service.
- Misrepresent your identity or the source of any data you upload.
- Use the Service to process personal data without a lawful basis under the Data Privacy Act of 2012 or any other applicable law.
We may investigate suspected violations and take action, including suspending or terminating accounts.
6. SMS, marketing, and customer communications
Zuno provides tools that allow merchants to send SMS campaigns, loyalty messages, and other communications to their customers. When you use these tools:
- You are the sender. You are responsible for obtaining valid consent from each recipient and for complying with all applicable laws, including the Data Privacy Act of 2012 and rules issued by the National Telecommunications Commission and the National Privacy Commission.
- You must honor opt-outs. Recipients who unsubscribe must not be messaged again through Zuno without renewed consent.
- You must not send prohibited content, including content that is misleading, harassing, defamatory, or unlawful.
We may suspend messaging features for accounts that generate excessive complaints, spam reports, or abuse.
7. Your data
7.1 Ownership
You retain ownership of the data you upload to or generate through Zuno, including sales records, inventory, customer profiles, menus, marketing campaigns, and HR information (“Customer Data”).
7.2 License to operate the Service
You grant Zuno a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Customer Data solely for the purpose of providing and improving the Service, supporting your use, and complying with legal obligations.
7.3 Aggregated and anonymized data
We may generate aggregated or anonymized statistics from Customer Data that do not identify you or any individual. We may use this information for analytics, benchmarking, security, and product improvement.
7.4 Privacy
Our handling of personal information is described in our Privacy Policy, which is part of these Terms.
7.5 Backups and export
You are responsible for maintaining your own records. We may offer tools to export your data; please use them regularly. On account closure, we will follow the retention practices described in the Privacy Policy.
8. Intellectual property
The Service, including all software, design, content, logos, and trademarks, is owned by Zuno or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.
You may not:
- Copy, modify, or create derivative works of the Service.
- Use the Zuno name, logo, or trademarks without our prior written consent.
- Remove or alter any proprietary notices.
You may submit feedback, suggestions, or ideas about the Service. If you do, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.
9. Third-party services
The Service may integrate with or rely on third-party services such as payment processors, SMS gateways, cloud hosting, and authentication providers. Those services are governed by their own terms and privacy policies. We are not responsible for third-party services and disclaim any liability arising from them, to the maximum extent permitted by law.
10. Service availability and changes
We work to keep the Service available and reliable, but we do not guarantee uninterrupted access. Maintenance, updates, outages, or events outside our control may affect availability.
We may add, change, or remove features at any time. For material changes that negatively affect a paid feature you are actively using, we will provide reasonable notice.
11. Suspension and termination
11.1 By you
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.
11.2 By us
We may suspend or terminate your access if:
- You breach these Terms.
- Your payment is overdue.
- We are required to do so by law or by a competent authority.
- Continued operation of your account poses a security, legal, or reputational risk.
11.3 Effect of termination
On termination, your right to use the Service ends. Provisions that by their nature should survive — such as ownership, indemnity, disclaimers, limitation of liability, and dispute resolution — will continue to apply.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
Zuno is a business management tool. It is not a substitute for professional advice (legal, accounting, tax, HR, or otherwise). You are responsible for the decisions you make based on information in the Service.
13. Limitation of liability
To the maximum extent permitted by applicable law, Zuno shall not be liable for any monetary damages of any kind arising out of or related to the Service or these Terms, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and whether or not Zuno has been advised of the possibility of such damages. This includes, without limitation:
- Direct, indirect, incidental, special, consequential, exemplary, or punitive damages.
- Lost profits, lost revenue, lost data, business interruption, loss of goodwill, or loss of opportunity.
- Damages resulting from downtime, errors, bugs, or unavailability of the Service.
- Damages arising from your use of the Service in Beta or from third-party services integrated with the Service.
You acknowledge that the Service is provided to you at little or no cost (including during Beta access and free trial periods), and that this allocation of risk is a fundamental basis of the bargain between you and Zuno. Without this limitation, Zuno could not offer the Service at its current price.
Fallback. If a court of competent jurisdiction determines that applicable law does not permit the complete exclusion of liability set out above, then Zuno's total cumulative liability arising out of or related to the Service or these Terms shall be limited to the lesser of (a) the total amount you actually paid to Zuno in the three (3) months immediately preceding the event giving rise to the claim, or (b) one thousand Philippine Pesos (₱1,000).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you to the extent prohibited by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Zuno, its affiliates, and their respective officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of:
- Your use of the Service.
- Your Customer Data and the messages you send through the Service.
- Your breach of these Terms.
- Your violation of any law or the rights of any third party, including your customers and employees.
15. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict of laws principles.
Any dispute arising out of or in connection with these Terms or the Service will be brought exclusively before the competent courts of the Philippines, unless otherwise required by law. You and Zuno waive any objection to venue in such courts.
We encourage you to contact us first so we can try to resolve disputes informally.
16. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will post the updated Terms on this page and update the “Last updated” date above. If the changes are significant, we will provide a more prominent notice. Continued use of the Service after the changes take effect means you accept the updated Terms. If you do not agree, you should stop using the Service.
17. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any plan-specific terms, are the entire agreement between you and Zuno regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Notices. We may send notices to you by email, in-product message, or by posting on our website.
